Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Waypoint website at waypoint.world, the Waypoint application, the Waypoint SDK, the Directory, and any related services (together, the “Services”), operated by Waypoint (“Waypoint”, “we”, “us”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Waypoint is

Waypoint is non-custodial software that lets you grant an AI model, agent harness, or application scoped authority to transact on your behalf using your own blockchain account.

We do not take custody of your assets. We do not hold your private keys, we do not hold your funds, and no wallet operated by Waypoint holds user assets. Transactions execute from your own account, and the limits you set are enforced by your account contract on-chain.

We are not a financial institution. Waypoint is not a broker, dealer, exchange, investment adviser, money transmitter, or bank. We do not provide financial, investment, tax, or legal advice. Nothing in the Services is a recommendation to enter into any transaction.

We do not operate the AI model. Waypoint does not run, host, or control any AI model, and we do not receive or store the contents of your conversations with any model. The model you use is provided by a third party under its own terms.

2. Eligibility

To use the Services you must:

• be at least 18 years old and able to form a binding contract;
• not be located in, or a resident of, any jurisdiction subject to comprehensive sanctions administered by the United States Office of Foreign Assets Control, the United Nations, the European Union, or the United Kingdom;
• not be listed on any applicable sanctions or restricted-party list;
• not be prohibited from using the Services under the laws applicable to you.

You are responsible for determining whether your use of the Services is lawful where you live. We may restrict access from any jurisdiction at our discretion.

3. Your account and your keys

You access the Services using a blockchain wallet you control. We never receive your private keys or seed phrase.

You are solely responsible for the security of your wallet. If you lose access to your wallet, or if your keys or recovery phrase are compromised, we cannot recover your assets, reverse transactions, or restore access. Blockchain transactions are final and irreversible.

Connecting your wallet to Waypoint may involve upgrading your existing address to a smart account. You are responsible for understanding what this does before you approve it.

4. Sessions and delegated authority

A session is a set of permissions you create and approve. When you create a session you choose the protocols and functions it may call, the budget it may spend, and the date it expires.

A session credential is a bearer credential. Whoever holds it can act with that session’s authority. You are responsible for how you store, transmit, and share any session credential you create, and for every action taken by anything you give it to. Actions taken within the limits you set are your actions.

You are responsible for the limits you choose. We do not review, approve, or advise on the budgets, allowlists, or expiries you set.

You can revoke. You may rotate or revoke a session credential, or revoke the underlying on-chain delegation, at any time. Revocation does not reverse transactions that have already executed.

5. The Directory and waypoints

The Directory is a register of waypoints — declarations that make a deployed protocol callable by a model. Waypoints may be authored by a protocol’s own team, by third parties, or by us.

Verification is a review, not a guarantee. Where we describe a waypoint as verified, this means it has passed our review process at the time of publication. It is not a warranty that the underlying protocol is safe, solvent, lawful, or free of defects, and it is not an endorsement of that protocol or its operators. Review processes can miss things, and protocols can change after review.

Third-party protocols are not our software. Waypoints reference smart contracts deployed and operated by third parties. We do not control those contracts and are not responsible for their behaviour, availability, security, or economics. Interacting with them is at your own risk.

Importing a waypoint is your decision. A waypoint does nothing until you import it and enable it within a session you approve.

6. Publishing waypoints

If you author or publish a waypoint, you represent that:

• you have the right to publish it and to use any names, marks, or materials it contains;
• its declarations accurately describe the functions and spend semantics of the contracts it references;
• it does not contain malicious code, deceptive descriptions, or anything designed to mislead a model or a user;
• your publication complies with all laws applicable to you.

You retain ownership of what you publish. You grant us a worldwide, non-exclusive, royalty-free licence to host, display, distribute, and make your waypoint available through the Services.

We may decline to publish, or may remove or delist, any waypoint at our discretion — including where it fails review, changes behaviour after review, or is the subject of a credible report.

7. Fees

A fee of 0.1% is applied to transactions that execute through a waypoint. Fee terms are described in the Services and may change; changes apply prospectively.

You are separately responsible for network transaction fees (gas) and for any fees charged by the protocols you interact with. We do not control those costs.

Any rewards, distributions, or incentives described in the Services are subject to their own terms, may be modified or discontinued, and are not a promise of profit or return.

8. Tokens

Any reference to a token associated with Waypoint is provided for information only. It is not an offer to sell, or a solicitation to buy, any token or security, and it is not a promise of profit, return, or future value. Token-related features may be unavailable in some jurisdictions, and may be changed, delayed, or discontinued.

You should not acquire any digital asset on the basis of anything described in the Services.

9. Risks you accept

You acknowledge that:

• Smart contracts can fail. Software, including ours and that of the protocols you interact with, may contain bugs, and audits do not eliminate this risk.
• Delegated authority carries risk. An AI model may act in ways you did not anticipate. Your limits bound what it can do; they do not guarantee it will do what you intended.
• Digital assets are volatile. You may lose some or all of the value of your assets.
• Transactions are irreversible. There is no chargeback, no undo, and no central authority to appeal to.
• Networks can fail. Congestion, reorganisations, forks, or outages may delay, prevent, or alter transactions.
• Regulation may change, and may affect the availability or lawfulness of the Services where you are.

You use the Services at your own risk and are responsible for your own decisions.

10. Acceptable use

You may not:

• use the Services to break any law, or to launder money, finance terrorism, or evade sanctions;
• attempt to gain unauthorised access to the Services, another user’s account, or any session credential you were not given;
• interfere with, overload, or disrupt the Services or the infrastructure behind them;
• publish a waypoint that misrepresents what it does;
• use the Services to defraud, deceive, or harm anyone;
• reverse engineer or attempt to extract source code from any part of the Services, except where that restriction is unenforceable by law;
• misrepresent your identity, jurisdiction, or eligibility.

We may suspend or terminate access for any breach.

11. Intellectual property

The Services, including the Waypoint name, logo, interfaces, documentation, and software (other than open-source components and user-published content), are owned by us and protected by intellectual property laws. These Terms do not grant you any right to use our marks.

Open-source components are licensed under their own terms, which govern in the event of conflict.

12. Third-party services

The Services may connect to or reference third-party products, including AI providers, wallet providers, blockchain networks, and DeFi protocols. We are not responsible for third-party services, and your use of them is governed by their terms, not ours.

13. No warranty

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any defect will be corrected. We do not warrant the accuracy, completeness, or reliability of any waypoint, Directory listing, or protocol description.

14. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or digital assets, arising out of or relating to your use of the Services — whether based in contract, tort, strict liability, or otherwise, and even if we have been advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services is zero. The Services are provided free of any warranty and you accept all risk of using them.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Waypoint, its affiliates, and their officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, your violation of any law or third-party right, or any waypoint you publish.

16. Changes to the Services and these Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may update these Terms; the current version will always be posted here with its date. Material changes will be notified through the Services or by email where we have your address. Continued use after changes take effect means you accept them.

17. Termination

You may stop using the Services at any time. Revoking your sessions and delegations is your own action and does not require us.

We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms or where required by law. Sections that by their nature should survive termination will survive.

18. Disputes

Before bringing any formal claim, you agree to contact us at the address in section 20 and attempt to resolve the matter informally for at least thirty days.

Nothing in these Terms limits any right you have under the mandatory laws of the country where you live, including any right to bring proceedings in your local courts.

19. General

Entire agreement. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Services.

Severability. If any provision is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

No partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
